SoundHound closes LivePerson deal, names John Collins CFO amid customer-service AI consolidation

SoundHound AI completed its acquisition of LivePerson on September 4 and named John Collins chief financial officer of the combined company, creating a larger conversational AI provider with voice, messaging and agentic automation assets under one platform.¹

The transaction expands SoundHound’s enterprise footprint to include 25 Fortune 100 customers and increases its intellectual property portfolio to more than 750 patents, according to the company.¹ It also signals that customer-service AI is moving beyond point solutions, such as voice bots or digital chat, toward end-to-end platforms that combine channels, orchestration, data and established enterprise relationships.

SoundHound said LivePerson’s digital messaging infrastructure will be integrated into OASYS, its Orchestrated Agent System, to support customer interactions across voice, web, mobile, SMS and social channels.¹ The company positioned the combined platform as a single engine for enterprises seeking to automate and manage customer engagement across multiple touchpoints.

Deal closes after merger process

In a Form 8-K filed September 4, SoundHound said LivePerson became an indirect wholly owned subsidiary through a two-step merger structure. Under the deal terms, most LivePerson common shares were converted into the right to receive 0.4673 SoundHound Class A common shares, while certain Tel Aviv Stock Exchange shares were converted into the right to receive $3.31 in cash.²

A separate LivePerson filing with the Securities and Exchange Commission also said the mergers occurred on September 4 and that LivePerson survived as an indirect wholly owned subsidiary of SoundHound.⁴ MarketScreener reported that LivePerson shares stopped trading on Nasdaq after the close.⁷

SoundHound also moved to simplify LivePerson’s capital structure as part of the transaction. The company said it retired LivePerson’s outstanding debt at close, leaving the combined company with what it described as a debt-free balance sheet.¹

Related filings show SoundHound registered Class A shares tied to LivePerson noteholder restructuring transactions, including a prospectus supplement covering 36,894,839 shares.³ Another SEC current report said SoundHound filed a prospectus supplement for the resale of shares issued to former LivePerson noteholders in connection with the recently completed acquisition.⁵

Collins takes finance role

SoundHound appointed Collins as CFO effective with the merger close, according to the company’s 8-K.² Collins previously held senior roles at LivePerson, including chief financial officer, chief operating officer and interim chief executive officer, SoundHound said.¹

His mandate is likely to draw investor attention because the LivePerson deal expands SoundHound’s operating scale while adding integration work across products, teams and customer accounts. SoundHound said Collins will focus on profitability, capital allocation, margin expansion, cost discipline and operational synergies.¹ MarketScreener’s coverage of the appointment similarly framed his role around post-acquisition financial integration and cost controls.⁸

Platform strategy takes priority

The strategic center of the deal is product consolidation. SoundHound brings voice AI and agentic AI technology, while LivePerson brings enterprise digital messaging infrastructure and long-standing customer-service relationships. Together, the assets could allow SoundHound to sell a broader platform into contact centers and customer-experience operations rather than discrete automation tools.

That direction aligns with how large enterprises are evaluating AI for service operations. Companies increasingly need systems that can answer calls, manage chats, retain context across channels, escalate to human agents, draw on customer data and complete tasks inside business workflows. A standalone chatbot or speech interface is often only one layer in that stack.

CMSWire described the transaction as a move to unify voice and digital messaging AI across an omnichannel platform, noting that LivePerson’s messaging capabilities are being folded into OASYS.⁶ The publication also framed the combination as part of changing contact-center economics, where vendors are seeking to replace fragmented customer-engagement stacks with more unified platforms.⁶

SoundHound said the combined company can target more than $500 million in future revenue from the existing customer base alone, a forward-looking figure that depends on execution, customer retention and cross-selling.¹ The company also cited demand for agentic AI, pointing to a Gartner forecast that enterprise spending on agentic AI software could reach $985 billion by 2030.¹

Integration now becomes the test

The deal gives SoundHound greater scale, a larger patent estate and access to major enterprise accounts. The next phase depends on execution.

Combining voice AI, digital messaging, orchestration software and customer data infrastructure can create a more complete offering. It also requires technical integration and consistent customer outcomes.

For enterprise technology buyers, the acquisition highlights a market shift: customer-service AI vendors are racing to become infrastructure platforms. The winners are likely to be those that can combine automation across channels with governance, data integration, reliability and measurable cost savings.

SoundHound said functional integration is already underway and that combined product offerings and expanded capabilities are expected to roll out to global clients in coming quarters.¹
